Pilot Program Terms
Terms and conditions governing participation in the OpsPal Pilot Program.
Purpose
The OpsPal Pilot Program (“Pilot”) provides selected RevPal customers early access to OpsPal, an AI-driven agent system developed by RevPal.
The purpose of the Pilot is for target personas to test and provide feedback on OpsPal’s functionality, enabling RevPal to refine the product prior to broader commercial release.
OpsPal is an experimental AI service and is provided for testing and evaluation purposes only.
Eligibility & Termination
Participation is limited to active RevPal customers in good standing under an existing services agreement (“Master Agreement”).
Access to OpsPal is contingent upon:
- An active RevPal agreement
- Current payment status
- Acceptance of these Pilot Terms
If a participant’s RevPal agreement terminates for any reason, access to OpsPal will terminate concurrently. RevPal may suspend or terminate Pilot access at its discretion.
Experimental AI Disclosure
Participant acknowledges and agrees:
- OpsPal is an experimental artificial intelligence system under active development.
- Outputs may contain errors, omissions, inconsistencies, or unintended results.
- System logic, routing, workflows, and behaviors may change without notice.
- Performance and reliability are being evaluated and are not guaranteed.
RevPal does not warrant:
- Accuracy of AI-generated outputs
- Continuous availability
- Error-free operation
- Fitness for any specific operational purpose
Participants are solely responsible for reviewing, validating, and approving all AI-generated outputs before operational reliance. OpsPal shall not be used as the sole decision-making authority for mission-critical production systems during the Pilot.
Dedicated Slack Channel & Support
During the Pilot, each participating organization will be provided a dedicated Slack channel for direct support and communication with the RevPal team. The dedicated Slack channel serves multiple purposes:
- Real-time support from RevPal as it pertains to OpsPal
- Issue reporting and troubleshooting
- Collection of performance insights and improvement data
Participants acknowledge and agree that:
- RevPal may monitor activity within the dedicated Slack channel for purposes of support, troubleshooting, and analytics.
- Feedback, usage observations, and interaction metadata shared in the channel may be reviewed by RevPal personnel as part of Pilot oversight.
- Participants are responsible for ensuring that any data shared within the Slack channel complies with their internal data governance policies.
Scope of Pilot Access
During the Pilot, participants may test capabilities including:
- AI-driven agent workflows
- Agent routing and coordination
- Reliability and stability testing
- Response formatting and preference configuration
- Operational adjustments and rule modifications
RevPal reserves the right to modify, limit, suspend, or remove functionality at any time.
Data Protection & Sandbox Testing
RevPal takes reasonable and commercially appropriate steps to protect customer data and maintain system integrity. However, due to the experimental nature of OpsPal, risks remain inherent in AI-driven systems.
Participants acknowledge and agree:
- Testing in a sandbox environment is strongly recommended.
- Full Copy Sandbox is preferred.
- Partial Copy Sandbox is acceptable.
- Production deployment is undertaken at Participant’s own risk.
RevPal is not liable for:
- Accidental data loss
- Data corruption
- Misrouted updates
- Configuration changes triggered by AI actions
- System or workflow interruptions
Participants are responsible for maintaining appropriate backup procedures, validation workflows, and change controls.
Feedback & Improvement
Participants agree to provide:
Passive Feedback
- Usage data
- System logs
- Performance telemetry
Structured Feedback
- Bi-weekly feedback sessions
- Input on routing logic, reliability, usability, and actionability
Participant grants RevPal a perpetual, royalty-free right to use anonymized feedback and insights for product improvement and commercialization.
Indemnification
To the fullest extent permitted by law, Participant agrees to indemnify, defend, and hold harmless RevPal, its officers, directors, employees, and contractors from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Participant’s use of OpsPal
- Reliance on AI-generated outputs
- Deployment in production environments
- Data processing performed at Participant’s direction
- Content submitted through the Slack channel
- Violation of applicable laws or third-party rights
- Misuse or misconfiguration of the system
This indemnification obligation survives termination of the Pilot.
Limitation of Liability
To the maximum extent permitted by law:
RevPal shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of revenue or business opportunity
- Business interruption
- Data loss or corruption
- AI output errors
RevPal’s total aggregate liability arising out of or related to the Pilot shall not exceed the fees paid by Participant to RevPal under the applicable Master Agreement during the Pilot period.
Confidentiality
All aspects of OpsPal, including workflows, architecture, features, and documentation, are confidential and proprietary.
Participant agrees not to:
- Reverse engineer the system
- Publicly disclose system details
- Share documentation without written consent
Confidentiality obligations survive termination.
Governing Law
These Pilot Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
Any disputes arising out of or relating to the Pilot shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.
Relationship to Master Agreement
This Pilot is supplemental to the Participant’s Master Agreement with RevPal. In the event of conflict, the Master Agreement controls unless expressly stated otherwise herein.
RevPal may update these Pilot Terms with written notice.
